Acceptance of Terms ​

These Terms of Service ("Terms") apply to the website tmarket.io, all subdomains (including *.tmarket.io), and all services provided by Tmarket Corp ("Tmarket", "Company", "we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

These Terms incorporate by reference our Privacy Policy and Cookie Policy. Please read them carefully.

Who we are ​

Tmarket is an AI-powered platform for social media marketing that connects advertisers and brands with relevant bloggers, creators, and their audiences.

Our current Services include:

Channel Analytics Service
Our Channel Analytics service processes only publicly available information. We do not create, promote, or endorse any content or narratives in the analyzed channels. We are not responsible for the content published in these channels.
Tmarket uses the YouTube Data API to provide YouTube channel statistics. By using this feature, you also agree to the YouTube Terms of Service.

Your Account ​

To access certain features of the Services, you need to create an account. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

You agree to:

  • Provide accurate, current, and complete information when registering;
  • Keep your account information updated;
  • Not share your account credentials with any third party;
  • Notify us immediately if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms.

User Responsibilities and Conduct ​

You are solely responsible for your use of the Services and for all content and activities that occur under your account.

You agree to use the Services only for lawful purposes and in compliance with these Terms. You must not use the Services in any way that violates applicable laws

User Content ​

You retain ownership of any content, prompts, inputs, files, materials, or outputs you submit or generate through the Services ("User Content").

By submitting or generating User Content, you grant Tmarket Corp a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, create derivative works from, and analyze such User Content. This license is granted solely for the purposes of:

  • Providing, operating, and improving the Services;
  • Developing, training, and enhancing our AI agents, algorithms, and new features or products;
  • Conducting analytics and research.

You are solely responsible for your User Content and for evaluating the accuracy, completeness, and usefulness of any output generated by the Services. You acknowledge that AI-generated outputs may contain inaccuracies, hallucinations, or biased content, and you must independently verify important information before relying on it.

You agree that you will not submit User Content that includes sensitive personal information, confidential data of third parties, or material for which you do not have the necessary rights.

Intellectual Property Rights ​

The Services, including the platform, underlying AI technology, algorithms, designs, trademarks, and logos, are owned exclusively by Tmarket Corp and its licensors.

Nothing in these Terms grants you any ownership rights in the Services or any part thereof.

You retain ownership of your User Content, subject to the licenses granted to us in these Terms.

Prohibited Uses ​

You agree not to use the Services to:

Illegal and Harmful Activities

  • Violate any applicable laws or regulations;
  • Engage in fraud, scams, phishing, or deceptive practices;
  • Promote or facilitate violence, terrorism, or illegal activities;
  • Exploit or harm minors in any way.

Marketing and Advertising Restrictions

  • Create or distribute deceptive, misleading, or fraudulent marketing materials;
  • Use the Services to generate content that contains false claims, exaggerated promises, or materially misleads consumers;
  • Employ dark patterns or manipulative techniques designed to deceive or exploit users;
  • Create fake reviews, testimonials, or artificially generated social proof.
  • Generate materials to promote or facilitate gambling, betting, casinos, lotteries, or any other form of real-money gaming;

Technical Abuse

  • Attempt to reverse engineer, decompile, or extract our AI agents, it's infrastructure or algorithms;
  • Interfere with or disrupt the Services or our infrastructure.

AI-Specific Restrictions

  • Generate content that is defamatory, hateful, or discriminatory;
  • Create spam, unsolicited bulk communications, or misleading promotional content;
  • Generate deepfakes or synthetic media intended to mislead or harm others.

We reserve the right to determine, at our sole discretion, whether your use of the Services violates these Prohibited Uses. Any violation may result in immediate suspension or termination of your account.

Limitation of Liability ​

TO THE FULLEST EXTENT PERMITTED BY LAW, in no event shall Tmarket Corp, its affiliates, directors, officers, employees, agents or licensors be liable for any indirect, incidental, special, consequential, punitive, exemplary or enhanced damages, including without limitation damages for loss of profits, goodwill, business, anticipated savings, data, use, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Services.

In no event shall Tmarket Corp’s aggregate liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of One Hundred United States Dollars (USD 100.00) or the total amount paid by you to Tmarket Corp during the twelve (12) months immediately preceding the claim.

These limitations shall apply regardless of the theory of liability (whether in contract, tort, negligence, strict liability, or otherwise) and even if Tmarket Corp has been advised of the possibility of such damages.

Disclaimers ​

THE SERVICES AND ALL OUTPUTS GENERATED THROUGH THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, TMARKET CORP EXPRESSLY DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant or represent that:

  • The Services or any Outputs will meet your requirements or expectations;
  • The Services will be uninterrupted, timely, secure, or error-free;
  • Any Outputs generated by the AI will be accurate, reliable, complete, suitable, or appropriate for your purposes;
  • Any defects in the Services will be corrected.

Indemnification ​

You agree to indemnify, defend, and hold harmless Tmarket Corp, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to reasonable attorney's fees) arising from or in connection with:

  • Your use of or access to the Services;
  • Your violation of these Terms;
  • Your violation of any third-party rights, including without limitation any intellectual property or privacy rights;
  • Any content you submit or any Output generated through your use of the Services;
  • Any recommendations, forecasts, conclusions, or decisions made by you or any third party based on data, analytics, or insights obtained from the Services.

Changes to Terms ​

We may update or modify these Terms from time to time. If we make material changes, we will notify you by posting the new Terms on this page and updating the "Last Updated" date at the top of these Terms.

Your continued use of the Services after any such changes constitutes your acceptance of the updated Terms.

Termination ​

We may terminate or suspend your access to all or any part of the Services at any time, with or without cause, and with or without notice, particularly in cases of violation of these Terms, abusive behavior, or to protect the integrity of the Services.

Upon termination or suspension:

  • We are not obligated to return or delete any User Content you submitted to the Services, although we may do so at our discretion.

We strive to provide fair notice where reasonably possible, except in cases of serious violations or legal obligations.

Governing Law and Dispute Resolution ​

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Amicable Resolution. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably through good faith negotiations via email (ceo@tmarket.io). If the dispute is not resolved within thirty (30) days, it shall be resolved through binding arbitration.

Binding Arbitration. The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

  • Virtual Format: For the convenience and efficiency of both parties, you and Tmarket expressly agree that any arbitration hearings, meetings, and depositions shall be conducted fully virtually via videoconferencing (such as Zoom or Teams).
  • The seat of arbitration shall be Delaware, but no physical presence shall be required.

Class Action & Jury Trial Waiver. You agree that you may bring claims against Tmarket only on an individual basis and not as a plaintiff or class member in any class or representative action. You and Tmarket waive any right to a jury trial.
